1. Acceptance
By creating an account or using VXSign (the "Service"), you agree to these Terms. If you use the Service on behalf of an organization, you represent that you can bind that organization.
2. The Service
VXSign provides electronic-signature tooling: preparing documents, sending them for signature, verifying signer identity, and producing sealed, tamper-evident records with a Certificate of Completion.
3. Accounts & eligibility
You must provide accurate information and keep your credentials secure. You are responsible for activity under your account and API keys.
4. Plans & billing
Pro is billed at $20/month and is self-serve; Enterprise is billed per an order form. Fees are charged through our payment processor (Stripe). Sending documents requires an active plan.
5. Acceptable use
You may not use the Service to send unlawful, fraudulent, or infringing documents, to impersonate others, or to violate the rights of any signer.
6. Customer content
You retain ownership of the documents and data you upload. You are responsible for the legality of what you send and for obtaining any required consents from signers.
7. Electronic signatures
VXSign provides tooling built to support ESIGN, UETA, and eIDAS. Whether a given signature is legally enforceable depends on your jurisdiction and use; this is not legal advice.
8. Intellectual property
VXSign and its underlying software are owned by us and our licensors. These Terms grant you a limited right to use the Service, not the software itself.
9. Third-party services
The Service relies on third parties such as Stripe (payments), email delivery, and cloud hosting, each governed by their own terms.
10. Warranties & disclaimers
The Service is provided "as is" without warranties of any kind to the extent permitted by law.
11. Limitation of liability
To the maximum extent permitted by law, our aggregate liability is limited as set out here (insert cap), and we are not liable for indirect or consequential damages.
12. Indemnification
You agree to indemnify VXSign against claims arising from your content or your misuse of the Service.
13. Termination
Either party may terminate as described here. On termination you may export your data for a reasonable period, after which it may be deleted.
14. Governing law
These Terms are governed by the laws of [Governing State/Country], without regard to conflict-of-laws rules.
